The 11th Board of Directors Meeting, 11th Session, May 04, 2022

1. It is resolved to approve the 2022 first season consolidated financial statement of the Company.
2. It is resolved to approve covering 2022 liability insurance for the Directors and Managers of the Company.
3. It is resolved to approve the proposed application to Mega International Commercial Bank Chung-Hsiao Branch for the loan quota of “43 units with the land serial number of No. 330 and so on at the section on Wuxing section, Xinyi District, Taipei for the urban renewal project.”
4. It is resolved to approve the 2022 annual accountant audit fee of the Company.
5. It is resolved to approve the revision of the internal audit system for the “CP-501 engineering procurement outsourcing process” and the “CW-506 employee leave request process.”
6. It is resolved to approve the loan quota contract extension with the following banks:
(1)The Export-Import Bank of ROC: 700 million New Taiwan Dollars of the domestic major public work loan quota and 800 million New Taiwan Dollars of the engineering guarantee quota.
(2)Mega International Commercial Bank Chung-Hsiao Branch: 420 million New Taiwan Dollars of the comprehensive working capital quota.
(3)First Bank Shimao Branch: 200 million New Taiwan Dollars of the comprehensive quota.
(4)Hua Nan Commercial Bank, Ltd. NAN SUNG SHAN. BRANCH: 250 million New Taiwan Dollars of comprehensive credit lines.
(5)O-Bank: 200 million New Taiwan Dollars of the mid-term unsecured comprehensive credit quota.
